Olivia Terms of Service

1. Who We Are
Olivia is a creative collaboration platform operated by DEV AI INC. (“Dev AI”, “we”, “our”, “us”), headquartered at 626 – 7771 Alderbridge Way, Richmond, BC, Canada, V6X 2A4. These Terms of Service (“Terms”) govern your access to and use of Olivia’s websites, applications, APIs, and related services (collectively, the “Service”).
By creating an account or using the Service you agree to these Terms, our Privacy Policy, and any applicable policies referenced here. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Account Registration & Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Service. You agree to provide accurate, complete information when creating an account and to keep it updated. You are responsible for safeguarding your credentials and for all activity that occurs through your account. Notify us immediately if you believe your account has been compromised.
3. Organization & Workspace Responsibilities
Olivia supports multi-workspace collaboration. Organization owners and administrators control membership, permissions, billing, and workspace configuration. You agree to:
Assign appropriate roles (owner, admin, member, viewer) and maintain accurate member rosters.
Ensure all members comply with these Terms and any internal policies or contractual obligations.
Promptly remove users who should no longer have access and maintain a minimum of one owner per organization.
Back up critical content when required by your business or regulatory needs.
4. Subscription Plans & Billing
Certain features require a paid subscription or usage-based fees. Prices, billing cycles, and available plans are described within the Service. By initiating a purchase you authorize us or our payment processor to charge the applicable fees to your chosen payment method. Unless otherwise stated, subscriptions renew automatically until canceled. You may cancel at any time; fees already paid are non-refundable except where required by law or as described in a separate order form.
5. Acceptable Use
You agree not to, and will not permit others to, misuse the Service. Prohibited conduct includes:
Uploading unlawful, harmful, defamatory, infringing, or otherwise objectionable content.
Attempting to probe, scan, or test the vulnerability of any system or network.
Interfering with or disrupting the integrity or performance of the Service.
Impersonating another user or misrepresenting your affiliation with a person or entity.
Using the Service to distribute spam, malware, or unauthorized advertising.
Reverse engineering or attempting to derive the source code, except as permitted by applicable open-source licenses.
We reserve the right to investigate violations and suspend or terminate accounts that breach these Terms.
6. User Content & Intellectual Property
You retain ownership of content you upload, create, or share via the Service (“User Content”). By submitting User Content you grant us a worldwide, non-exclusive, royalty-free license to host, process, and display it solely as necessary to provide, maintain, and improve the Service and to comply with legal obligations. You represent that you have all rights necessary to upload and share User Content and that it does not infringe the rights of others.
Olivia, including all software, features, visual interfaces, trademarks, and documentation, is owned by DEV AI INC. or its licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership interest in the Service, and you may not use our branding without prior written consent.
7. AI & Automation Features
Olivia offers AI-assisted features powered by internal models and third-party providers. When you submit content for AI processing, it may be transmitted securely to those providers strictly to fulfill your request. We require providers to maintain confidentiality, restrict use of your data, and honor deletion commitments consistent with our Privacy Policy. You are responsible for reviewing AI-generated outputs and ensuring they meet your legal and ethical requirements before use.
8. Confidentiality & Security
Each party agrees to protect the other’s confidential information with the same care it uses for its own information of similar importance. Confidential information includes business, technical, or financial information disclosed in connection with the Service that is not publicly known. This obligation survives termination of these Terms. We maintain administrative, technical, and physical safeguards designed to protect the Service, but we cannot guarantee absolute security.
9. Third-Party Services
The Service may link to or integrate with third-party platforms. Your use of third-party services is subject to their separate terms and privacy policies. We are not responsible for the content, security, or accuracy of third-party services, and use of integrations is at your own risk.
10. Data Protection & Privacy
Our collection and use of personal information is described in the Olivia Privacy Policy. By using the Service you acknowledge that we will process personal information as outlined there. Organization owners are the data controllers for content uploaded to their workspaces and are responsible for providing any required notices or obtaining consents from their users.
11. Term & Termination
These Terms remain in effect until terminated by either party. You may discontinue use by deleting your account or ceasing to access the Service. We may suspend or terminate access at any time if we believe you have violated these Terms, pose a security or legal risk, or fail to pay fees when due. Upon termination you lose access to the Service, but sections intended to survive (including confidentiality, intellectual property, disclaimers, and limitations of liability) will continue.
12. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that generated outputs will meet your requirements.
13. Limitation of Liability
To the fullest extent permitted by law, DEV AI INC., its affiliates, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses arising out of or relating to your use of the Service. Our aggregate liability for claims arising under these Terms will not exceed the amounts paid to us by you or your organization for the Service in the six (6) months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless DEV AI INC. and its affiliates from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable laws.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada, without regard to conflict-of-law principles. The parties agree to submit to the exclusive jurisdiction of the courts located in British Columbia, Canada, for disputes arising out of or relating to these Terms or the Service, except where prohibited by applicable law.
16. Changes to These Terms
We may update these Terms periodically to reflect changes in the Service, legal requirements, or business practices. We will notify you of material changes via email, in-product notification, or other reasonable means. Your continued use of the Service after the updated Terms become effective constitutes acceptance of the changes.
